INTELLECTUAL PROPERTY, TRADEMARK & PORTFOLIO USAGE POLICY

 1. Introduction 

This Policy governs the ownership, protection, usage, and enforcement of all intellectual property, trademarks, digital assets, designs, systems, and portfolio materials associated with Spade Technologies. 

This Policy applies to all: 

• clients 

• users 

• viewers 

• employees 

• vendors 

• third parties 

interacting with or accessing any material, service, or platform of the Company. 

2. Ownership of Intellectual Property 

Unless explicitly stated through a written agreement: 

All intellectual property created, developed, or presented by Spade Technologies, including but not limited to: 

• software code and systems 

• UI/UX designs and layouts 

• wireframes, prototypes, and flows 

• system architecture and workflows 

• automation logic and structures 

• design systems and visual assets 

• documentation, strategies, and methodologies 

shall remain the exclusive property of Spade Technologies.

No ownership rights are transferred by default. 

3. Trademark and Brand Protection 

All brand assets including:

• the name “Spade Technologies” 

• logos and visual identity 

• product names and system names 

• brand elements, design language, and presentation 

are protected under: 

• The Trade Marks Act, 1999 (India) 

• The Copyright Act, 1957 

• applicable international intellectual property laws 

Unauthorized use, imitation, or registration of similar assets shall be treated as infringement. 

4. Client Usage Rights 

Upon full and final payment: 

• Clients are granted limited, non-exclusive usage rights strictly for the intended purpose defined in the project scope. 

• Such rights: 

• do not constitute ownership 

• cannot be transferred or sublicensed 

• are restricted to the defined application 

Full ownership transfer shall occur only if explicitly agreed in writing. 

5. Source Code and Core Asset Control 

Spade Technologies reserves the absolute right to: 

• retain proprietary frameworks 

• retain reusable components and modules 

• retain internal tools, systems, and libraries 

even after project completion. 

Delivery of: 

• source code 

• editable design files 

• raw assets 

shall depend strictly on the agreed scope. 

6. Portfolio and Showcase Rights 

Spade Technologies reserves the right to showcase: 

• designs 

• screenshots 

• UI/UX flows 

• system representations 

• case studies 

for: 

• portfolio 

• marketing 

• presentations 

Sensitive or confidential data may be: 

• modified 

• anonymized 

• masked 

to protect client confidentiality. 

7. Portfolio Usage Restrictions (Strict Clause) 

All portfolio materials are: 

• protected under applicable IP laws 

• intended only for viewing and evaluation 

The following actions are strictly prohibited: 

• copying or reproducing designs 

• imitating layouts, flows, or systems 

• reverse engineering structures or logic 

• using concepts for commercial or competitive purposes 

• recreating similar products or designs 

This includes both direct and indirect imitation. 

8. Digital Asset Protection 

All digital assets including: 

• websites 

• applications 

• interfaces 

• design structures 

• workflows 

are protected intellectual property. 

Unauthorized replication, even with modifications, shall be treated as infringement. 

9. Prohibited Use (Strict Enforcement) 

Without prior written permission, no entity shall: 

• copy, reuse, or adapt any deliverable 

• resell or redistribute work 

• create derivative or competing products 

• reverse engineer systems or designs 

• extract logic, architecture, or flows 

Any violation shall result in immediate legal action. 

10. No Implied License 

Access to: 

• website 

• portfolio 

• proposals 

• demos 

• communication 

does not grant any ownership or license rights. 

All rights remain strictly reserved unless explicitly granted in writing. 

11. Client-Provided Materials 

• All client-provided data remains the responsibility of the client. 

• The client warrants that such materials do not infringe third-party rights. 

Spade Technologies shall not be liable for legal claims arising from such materials. 

12. Domain and Digital Identity Protection 

Any attempt to: 

• register similar domain names 

• impersonate the Company 

• create misleading identities 

shall be treated as a serious violation and may result in legal action. 

13. Monitoring and Enforcement 

Spade Technologies reserves the right to: 

• monitor unauthorized use 

• track infringement 

• initiate action without prior notice 

Enforcement actions may include: 

• cease and desist notices 

• financial claims and damages 

• injunctions 

• civil and criminal proceedings 

14. Legal Protection 

All intellectual property is protected under: 

• The Copyright Act, 1957 

• The Trade Marks Act, 1999 

• applicable Indian and international IP laws 

Violation may result in: 

• legal proceedings 

• financial liability 

• recovery of damages and legal costs 

15. Limitation of Liability 

Spade Technologies shall not be liable for: 

• misuse of portfolio or deliverables 

• interpretation or reliance on case studies 

• indirect or consequential damages 

16. Governing Law and Jurisdiction 

This Policy shall be governed by the laws of India. 
All disputes shall be subject to the exclusive jurisdiction of courts located in Nagpur, Maharashtra. 

17. Modifications 

Spade Technologies reserves the right to update or modify this Policy at any time without prior notice.

18. Acknowledgement 

By accessing, reviewing, or engaging with any material or service of Spade Technologies, you: 

• acknowledge this Policy 

• agree to comply with all terms 

• accept legal consequences in case of violation
