INTELLECTUAL PROPERTY RIGHTS POLICY

1. Introduction 

This Intellectual Property Rights Policy governs the ownership, protection, usage, and restrictions associated with all deliverables, materials, systems, and assets created, developed, or shared by Spade Technologies. 

This Policy applies to all clients, users, viewers, collaborators, and any entity accessing our services, deliverables, website, portfolio, or communications. 

2. Ownership of Intellectual Property 

Unless explicitly agreed otherwise through a signed written agreement: 

  • All intellectual property developed by Spade Technologies, including but not limited to: 

  • source code and compiled applications 

  • UI/UX designs, wireframes, and prototypes 

  • system architecture and workflows 

  • design systems and visual assets 

  • automation logic, dashboards, and analytics models 

  • documentation, strategies, and frameworks 

shall remain the sole and exclusive property of Spade Technologies. 

3. Client Usage Rights 

  • Upon full and final payment, clients are granted limited, non-exclusive, non-transferable usage rights strictly for the intended purpose defined in the project scope. 

  • These rights do not constitute ownership unless explicitly stated in writing. 

  • Usage rights are restricted to the agreed business use and cannot be extended, sublicensed, or transferred without prior written approval. 

4. Source Code and Deliverables 

  • Delivery of source code, editable files, or raw assets shall be strictly governed by the scope of work and written agreement. 

  • Spade Technologies reserves the right to: 

  • withhold source code or editable assets 

  • provide compiled or restricted versions of deliverables 

  • limit access to specific components 

  • No assumption of ownership or entitlement shall arise unless explicitly documented. 

5. Retention of Core Assets and Frameworks 

Spade Technologies retains full ownership of: 

  • proprietary frameworks and reusable components 

  • internal tools, templates, and automation systems 

  • libraries, modules, and development methodologies 

  • design systems, UI kits, and structured workflows 

These assets may be reused across multiple projects without restriction. 

6. Portfolio and Showcase Rights 

  • Spade Technologies reserves the unrestricted right to display, publish, and showcase completed or partial work in: 

  • portfolios 

  • case studies 

  • presentations 

  • marketing materials 

  • Any confidential or sensitive data shall be modified, masked, or excluded where necessary to maintain privacy and contractual obligations. 

7. Portfolio Usage and Viewer Restrictions 

All materials presented in Spade Technologies’ portfolio: 

  • are intended strictly for viewing, evaluation, and reference 

  • are protected under the Indian Copyright Act, 1957, and applicable international intellectual property laws 

The following actions are strictly prohibited:

  • copying, reproducing, or redistributing designs or systems 

  • imitation or replication of UI/UX structures, workflows, or interaction models 

  • reverse engineering or extracting design logic 

  • commercial or competitive use of showcased concepts 

Any such action may result in legal consequences. 

8. Prohibited Use by Clients or Third Parties 

Without prior written permission from Spade Technologies, the following are strictly prohibited: 

  • resale, sublicensing, or redistribution of deliverables 

  • modification beyond agreed scope and usage rights 

  • replication of system architecture, workflows, or design systems 

  • use of deliverables for competing or derivative products 

  • reverse engineering or unauthorized access to underlying systems 

Violation of these terms shall constitute intellectual property infringement. 

9. No Implied Transfer of Ownership 

  • No ownership rights shall be transferred unless explicitly defined in a signed written agreement. 

  • Payment does not automatically result in transfer of intellectual property ownership beyond defined usage rights. 

  • Access to deliverables does not imply ownership. 

10. Client-Provided Materials 

  • All materials, content, data, or inputs provided by the client remain the responsibility of the client. 

  • The client warrants that such materials do not infringe any third-party intellectual property rights. 

  • Spade Technologies shall not be liable for any claims arising from client-provided content. 

11. Confidentiality and Representation 

  • Certain showcased work may include conceptual representations, internal prototypes, or modified versions of actual projects. 

  • Sensitive or proprietary client information may be altered or omitted to comply with confidentiality obligations. 

12. Legal Protection 

All intellectual property created or shared by Spade Technologies is protected under: 

  • The Indian Copyright Act, 1957 

  • Applicable intellectual property laws of India 

  • International copyright and intellectual property conventions 

Unauthorized use, duplication, or infringement may result in:

  • legal proceedings 

  • claims for damages 

  • injunctive relief and enforcement actions 

13. Survival of Rights 

All intellectual property rights of Spade Technologies shall continue to remain in force even after: 

  • project completion 

  • termination of services 

  • expiry of agreements 

14. Governing Law and Jurisdiction 

This Policy shall be governed by the laws of India. 
All disputes shall be subject to the exclusive jurisdiction of courts located in Nagpur, Maharashtra. 

15. Acknowledgement 

By accessing, reviewing, or engaging with any materials, deliverables, or services provided by Spade Technologies, you acknowledge and agree to comply with this Intellectual Property Rights Policy.
