1. Introduction 

These Terms of Service govern the access to and use of services, products, and digital platforms provided by Spade Technologies. 

By engaging with our services, accessing our website, or making any payment, you agree to be bound by these Terms. 

These Terms constitute a legally binding agreement between Spade Technologies and the client. 

2. Scope of Services 

Spade Technologies provides services including but not limited to: 

  • Web and Mobile App Development 

  • UI/UX Design and Product Branding 

  • Custom Software Development 

  • Website Development 

  • E-commerce Solutions 

  • CRM and ERP Systems 

  • Business and Process Automation 

  • AI and Intelligent Automation 

  • Data Analytics and Dashboards 

  • DevOps and Cloud Infrastructure 

  • Tech Stack Modernization 

  • White Label Development 

  • Maintenance and Support 

  • Technology Consulting 

The Company reserves the right to modify or discontinue services at its discretion. 

3. Acceptance of Terms 

By: 

  • accessing the website 

  • approving proposals 

  • making payments 

the client confirms acceptance of these Terms. 

4. Engagement and Project Initiation 

A project shall commence only after: 

  • advance payment (typically 30%–50%) 

  • written approval of scope 

Any prior discussions are non-binding. 

5. Payment Terms 

  • Projects follow milestone-based payments. 

  • Payments must be made strictly as agreed. 

The Company reserves the right to: 

  • suspend work for delayed payments 

  • revise timelines 

  • withhold deliverables 

No final delivery, source code, or access shall be provided until full payment is received. 

6. Refund & Cancellation Policy (Core Clause) 

6.1 No Refund Policy 

All payments made to Spade Technologies are strictly non-refundable

Once work has commenced, no refund shall be issued under any circumstances. 

This includes: 

  • advance payments 

  • milestone payments 

  • partial or full payments 

Payments represent commitment of resources and time. 

6.2 Cancellation by Client 

The client may request cancellation via written communication. 

However: 

  • no refund shall be provided 

  • completed work remains chargeable 

  • delivery of partial work is at Company discretion 

6.3 Cancellation by Company 

The Company may terminate services in cases of: 

  • non-payment 

  • breach of terms 

  • lack of cooperation 

  • unprofessional conduct 

In such cases:

  • no refund shall be issued 

  • work delivery is at Company discretion 

6.4 Payment Disputes 

  • Chargebacks or payment reversals without prior communication are prohibited. 

  • Any such action shall be treated as breach and may lead to legal action. 

6.5 Exceptions 

Any exception: 

  • is at sole discretion of the Company 

  • must be approved in writing 

6.6 Refund Limitations 

Refunds are not linked to: 

  • client satisfaction 

  • change in requirements 

  • delays caused by client 

  • subjective expectations 

7. Scope of Work and Change Management 

  • Scope shall be strictly as documented. 

  • Revisions are limited to agreed scope. 

Any additional request: 

  • treated as change request 

  • may involve additional cost and timelines 

8. Client Responsibilities 

The client agrees to: 

  • provide accurate and complete requirements 

  • share content, data, and approvals on time 

  • maintain communication responsiveness 

  • comply with laws and third-party rights 

Delays from the client shall extend timelines automatically. 

9. Intellectual Property

  • Ownership transfer depends on full payment and agreed scope. 

  • The Company retains rights over: 

  • frameworks 

  • reusable components 

  • internal systems 

The Company reserves the right to showcase work unless restricted in writing. 

10. Communication Policy 

Only written communication is valid: 

Verbal communication is not binding. 

11. Timelines and Delivery 

Timelines are estimates and depend on: 

  • client responsiveness 

  • payment adherence 

  • project complexity 

Delays caused by client or third parties shall not be attributed to the Company. 

12. Third-Party Dependencies 

The Company shall not be responsible for: 

  • outages 

  • pricing changes 

  • API limitations 

  • third-party policy changes 

All third-party costs are borne by the client unless stated otherwise. 

13. Maintenance and Support 

  • Provided only if included in scope or separate agreement. 

  • No lifetime support unless explicitly agreed. 

14. Limitation of Liability 

The Company shall not be liable for: 

  • indirect or consequential damages 

  • loss of profits, data, or business 

Liability is limited to the amount paid for the specific service. 

15. Termination and Suspension 

The Company may suspend or terminate services without notice in case of: 

  • non-payment 

  • breach 

  • misuse 

  • unprofessional conduct 

All payments remain non-refundable. 

16. Confidentiality 

Both parties agree to maintain confidentiality of sensitive information. 

The Company shall not be liable for breaches caused by external factors. 

17. Force Majeure 

The Company shall not be liable for delays due to events beyond control, including: 

  • natural disasters 

  • technical failures 

  • government actions 

  • cyber incidents 

18. Governing Law and Jurisdiction 

These Terms shall be governed by the laws of India. 
All disputes shall be subject to the exclusive jurisdiction of courts located in Nagpur, Maharashtra. 

19. Modifications

The Company reserves the right to update these Terms at any time.

Continued use of services constitutes acceptance of updated Terms.
